The company's explanation letter puts it down to costs growing more slowly than sales: cost of goods sold rose 3.4%, while selling plus G&A expenses were flat (down ₫0.01bn), so operating profit rose 68.5% to ₫22.0bn. Under that flat total, selling expenses rose ₫5.9bn and G&A fell ₫5.9bn: other cash expenses in G&A dropped from ₫13.1bn to ₫10.0bn and a ₫0.9bn provision reversal replaced a small charge, while the cost of the water-loss prevention service in selling expenses rose from ₫0.4bn to ₫2.5bn.LNST Q3 tăng 66,1% lên 17,6 tỷ, nhanh hơn nhiều so với doanh thu (+5,3%). Clean water revenue rose 5.15% to ₫350.7bn. The company attributes it to 4.54% higher volume sold (worth about ₫15.15bn) and a 0.59% higher average selling price (up ₫70.32 per m³, about ₫2.04bn). Meter installation and other services grew 33.8% to ₫2.7bn, a small line. On the cost side, wholesale water bought from SAWACO, its 51% shareholder, rose ₫10.26bn (+4.82%): the buying price went from ₫6,884.26 to ₫6,965.49 per m³ and the volume bought rose 3.59%, partly offset by ₫2.79bn less clean-water work-in-progress cost recognised.Doanh thu nước sạch tăng 5,15% lên 350,7 tỷ. Công ty giải thích do sản lượng tiêu thụ tăng 4,54% (tương đương khoảng 15,15 tỷ) và giá bán bình quân tăng 0,59% (tăng 70,32 đồng/m³, khoảng 2,04 tỷ). Dịch vụ lắp đặt đồng hồ và dịch vụ khác tăng 33,8% lên 2,7 tỷ, một mảng nhỏ. Về chi phí, nước sạch mua sỉ từ SAWACO, cổ đông nắm 51%, tăng 10,26 tỷ (+4,82%): giá mua từ 6.884,26 lên 6.965,49 đồng/m³ và sản lượng mua tăng 3,59%, được bù đắp một phần bởi chi phí nước sạch dở dang ghi nhận giảm 2,79 tỷ. Operating cash flow was ₫57.0bn in 9M versus ₫95.2bn a year earlier, even though net profit was higher. Payables are the largest swing: they drained ₫32.8bn this year after adding ₫11.8bn a year ago, while inventories released ₫6.2bn (₫20.5bn a year ago). Since 1 Jan, taxes and other payables to the State fell from ₫114.3bn to ₫82.4bn and trade payables from ₫112.6bn to ₫95.6bn, while trade receivables rose from ₫25.2bn to ₫54.3bn. Cash ended at ₫84.4bn, down from ₫102.1bn.Dòng tiền từ hoạt động kinh doanh 9T là 57,0 tỷ, so với 95,2 tỷ cùng kỳ năm trước, dù LNST cao hơn. Net debt is ₫75.9bn: borrowings of ₫160.5bn (₫69.5bn short-term, ₫91.0bn long-term) against cash and short-term investments of ₫84.6bn. It was ₫59.0bn at 1 Jan and ₫68.0bn at 30 Jun, so it rose ₫7.9bn in Q3. Gross borrowings barely moved (₫161.3bn at 1 Jan, ₫163.7bn at 30 Jun): ₫187.1bn was drawn and ₫187.8bn repaid in 9M, so the debt is largely rolled over. Interest expense rose to ₫8.2bn in 9M from ₫2.8bn; the 9M 2025 cash flow shows ₫104.8bn drawn against ₫34.6bn repaid, so borrowings were still being added a year ago. Capex fell to ₫51.9bn from ₫148.9bn.Nợ ròng là 75,9 tỷ: vay 160,5 tỷ (69,5 tỷ ngắn hạn, 91,0 tỷ dài hạn) so với tiền và đầu tư ngắn hạn 84,6 tỷ. Con số này là 59,0 tỷ tại 01/01 và 68,0 tỷ tại 30/06, tức tăng 7,9 tỷ trong Q3. Tổng nợ vay gần như không đổi (161,3 tỷ tại 01/01, 163,7 tỷ tại 30/06): 9T giải ngân 187,1 tỷ và trả 187,8 tỷ, nên khoản vay phần lớn được đảo nợ. Chi phí lãi vay 9T tăng lên 8,2 tỷ từ 2,8 tỷ; dòng tiền 9T/2025 ghi nhận giải ngân 104,8 tỷ so với trả 34,6 tỷ, tức một năm trước khoản vay vẫn đang tăng thêm. Chi đầu tư TSCĐ giảm còn 51,9 tỷ từ 148,9 tỷ. The AGM of 22 Apr 2026 approved a 26% cash dividend on 2025 profit (₫22.1bn, in two payments of 16% and 10%) plus a further 3% (₫2.55bn) out of retained earnings from prior years, ₫24.65bn in total. The 9M cash flow shows ₫22.05bn paid, against ₫11.9bn a year earlier, and dividends payable stand at ₫2.8bn, the part not yet paid. Equity barely moved, from ₫262.5bn to ₫265.9bn, because the 9M profit of ₫48.3bn was offset by these dividends and ₫20.2bn set aside for staff bonus, welfare and management bonuses.ĐHĐCĐ ngày 22/04/2026 thông qua cổ tức tiền mặt 26% trên lợi nhuận 2025 (22,1 tỷ, chia hai đợt 16% và 10%) cùng thêm 3% (2,55 tỷ) từ lợi nhuận chưa phân phối của các năm trước, tổng cộng 24,65 tỷ. The 2026 plan approved at the AGM targets pre-tax profit of ₫76.7bn and net profit of ₫61.4bn, with a 14% dividend (2025 was 26%). 9M pre-tax profit is already ₫60.4bn and net profit ₫48.3bn.Kế hoạch 2026 được ĐHĐCĐ thông qua đặt mục tiêu lợi nhuận trước thuế 76,7 tỷ và LNST 61,4 tỷ, với cổ tức 14% (năm 2025 là 26%). Lợi nhuận trước thuế 9T đã đạt 60,4 tỷ và LNST 48,3 tỷ.

Major shareholders are custodian/trust banks (The Master Trust Bank of Japan 16.03%, Custody Bank of Japan 5.42%), not an industrial parent: Kirin itself has no controlling shareholder. Notes M&AM&AKirin sold its Four Roses Distillery subsidiary to E. & J. Gallo Winery on April 2, 2026, recognizing a ¥29.0bn gain in Other operating income. That gain is the single biggest reason reported operating profit jumped 87.8% (¥68.7bn → ¥129.0bn) while the cleaner, Kirin-defined normalized operating profit rose a smaller 36.1% (¥94.2bn → ¥128.3bn); Kirin may also collect up to ¥8.0bn (USD 50 million) of contingent consideration if Four Roses hits revenue targets.Kirin đã bán công ty con Four Roses Distillery cho E. & J. Gallo Winery vào ngày 02/04/2026, ghi nhận khoản lãi 29,0 tỷ yên vào thu nhập hoạt động khác. Khoản lãi này là nguyên nhân lớn nhất khiến LN hoạt động báo cáo tăng 87,8% (68,7 tỷ → 129,0 tỷ yên), trong khi LN hoạt động chuẩn hóa (thước đo lợi nhuận lõi do Kirin tự định nghĩa) chỉ tăng 36,1% (94,2 tỷ → 128,3 tỷ yên); Kirin có thể nhận thêm tối đa 8,0 tỷ yên (50 triệu USD) tiền thanh toán bổ sung nếu Four Roses đạt các mục tiêu doanh thu. Per Kirin's FY2025 Annual Securities Report, Interfood Shareholding Company (HOSE: IFS) is a 95.7%-owned consolidated subsidiary, held entirely indirectly (not directly by the holding company), sitting in the Non-alcoholic Beverages segment alongside Kirin Beverage Company (Japan) and Coca-Cola Beverages Northeast (US).Theo Báo cáo Chứng khoán Thường niên FY2025 của Kirin, Công ty Cổ phần Thực phẩm Quốc tế (Interfood, HOSE: IFS) là công ty con hợp nhất sở hữu 95,7%, toàn bộ sở hữu gián tiếp (không nắm giữ trực tiếp bởi công ty mẹ), nằm trong mảng Đồ uống không cồn cùng với Kirin Beverage Company (Nhật Bản) và Coca-Cola Beverages Northeast (Mỹ). The Pharmaceuticals segment (Kyowa Kirin) was the standout: segment income jumped +80.7% (¥33.5bn → ¥60.5bn) on revenue growth of just +14.3% (¥230.5bn → ¥263.5bn), far outpacing the margin trend in Alcoholic Beverages (segment income +16.8% on +5.1% revenue growth) or Non-alcoholic Beverages (+4.8% on +8.5% revenue growth).Mảng Dược phẩm (Kyowa Kirin) là điểm sáng: LN mảng tăng +80,7% (33,5 tỷ → 60,5 tỷ yên) trong khi doanh thu chỉ tăng +14,3% (230,5 tỷ → 263,5 tỷ yên), vượt xa xu hướng biên lợi nhuận ở mảng Đồ uống có cồn (LN mảng +16,8% trên doanh thu +5,1%) hay Đồ uống không cồn (+4,8% trên +8,5%). Net debt fell from ¥798.1bn to ¥675.5bn between 31 Dec 2025 and 30 Jun 2026, helped by ¥114.5bn of cash proceeds tied to the Four Roses exit even as Kirin redeemed ¥40.0bn of bonds, repaid ¥25.0bn of long-term borrowings, and paid ¥30.0bn of dividends.Nợ ròng giảm từ 798,1 tỷ xuống 675,5 tỷ yên giữa 31/12/2025 và 30/06/2026, nhờ 114,5 tỷ yên tiền thu về liên quan đến việc thoái vốn Four Roses, dù Kirin đã đáo hạn 40,0 tỷ yên trái phiếu, trả 25,0 tỷ yên nợ vay dài hạn, và chi 30,0 tỷ yên cổ tức. Kirin canceled 98,000,000 treasury shares on March 3, 2026, cutting shares outstanding (issued) from 914,000,000 to 816,000,000, and separately spent ¥34.6bn buying back treasury shares during H1 2026 (versus just ¥9 million in H1 2025). Basic EPS nearly doubled, from ¥65.23 to ¥126.33.Kirin đã hủy 98.000.000 cổ phiếu quỹ vào ngày 03/03/2026, giảm số cổ phiếu đã phát hành từ 914.000.000 xuống 816.000.000, đồng thời chi 34,6 tỷ yên mua lại cổ phiếu quỹ trong 6T/2026 (so với chỉ 9 triệu yên ở 6T/2025). Lãi cơ bản trên cổ phiếu (EPS) gần như tăng gấp đôi, từ 65,23 lên 126,33 yên. On the same day as this filing (Aug 7, 2026), Kirin agreed to acquire 100% of Jamieson Wellness Inc. (Canadian vitamins/supplements maker) for CAD 1,898 million (approximately ¥218.3bn), expected to close October 2026 or later. Per the cash flow statement, inventory grew ₫52.7bn and receivables grew ₫34.7bn during the half, both consuming more cash than the profit growth generated. Profit and cash are diverging this half, not moving together. The 1H 2025 column in this filing differs slightly from the Q2 2025 filing (operating cash flow ₫61.8bn there against ₫62.4bn here, with net cash flow the same), and DMC's Q3 filing later restated the 9M 2025 operating cash flow by ₫18.7bn under Circular 99 (accrued deposit interest moved to investing), so the comparison is not strictly like for like.Dòng tiền hoạt động kinh doanh chuyển sang −31,8 tỷ trong 6T/2026, từ +62,4 tỷ ở 6T/2025, dù lợi nhuận hoạt động tăng 39,7%. GovernanceQuản trịThe FY2025 profit distribution, which sets DMC's cash dividend (₫2,500/share, 25% of par), was approved at the 22 Apr 2026 AGM by only 59.9% of votes cast, with 40.1% (12.05m of 30.09m represented shares) against, the only contested item among the meeting's seven resolution votes. (A separate Supervisory Board election that day passed 99.98%, not literally 100%, via a different confidence-vote mechanism and with no comparable opposition.) The payable balance stood at ₫86.83bn at 30 Jun 2026 (₫86.82bn newly declared plus a small carryover), nil at 31 Mar 2026 and still unpaid at period-end; almost all of the balance, like the vote itself, arose within Q2.Phương án phân phối lợi nhuận năm 2025, trong đó có cổ tức bằng tiền của DMC (2.500đ/cổ phiếu, 25% mệnh giá), chỉ được thông qua tại ĐHĐCĐ ngày 22/04/2026 với 59,9% phiếu tán thành, còn 40,1% (12,05 triệu trên 30,09 triệu cổ phần dự họp) không tán thành, là nội dung duy nhất có tranh luận trong số bảy nghị quyết biểu quyết tại cuộc họp. Q2 net profit after tax jumped 78.3% YoY (₫31.7bn → ₫56.5bn) on net revenue up only 1.7% (₫510.3bn → ₫519.2bn); both figures match DMC's own disclosure letter to the SSC and HOSE (No. 32/HDQT-DMC, 20 Jul 2026), which credits optimizing the product portfolio toward higher-margin products (chronic-disease and specialty medicines) and cost optimization, and cites no one-off item.LNST Q2 tăng 78,3% so với cùng kỳ (31,7 tỷ → 56,5 tỷ) trong khi doanh thu thuần chỉ tăng 1,7% (510,3 tỷ → 519,2 tỷ), cả hai số liệu khớp với công văn giải trình của DMC gửi UBCKNN và HOSE (số 32/HĐQT-DMC, ngày 20/07/2026), công văn nêu nguyên nhân là tối ưu danh mục sản phẩm theo hướng các sản phẩm biên lợi nhuận cao hơn (thuốc điều trị bệnh mãn tính và thuốc chuyên khoa) và tối ưu chi phí, và không nêu khoản mục bất thường nào. DMC carries zero interest-bearing debt: no borrowings line appears anywhere on the balance sheet, and the cash flow statement's loan-received/loan-repayment lines are both nil. Net cash of ₫585.1bn (cash plus short-term deposits) is the entire leverage picture; there is no debt to net it against.DMC không có nợ vay chịu lãi: không có khoản mục vay nào trên bảng cân đối kế toán, và các dòng vay nhận/trả nợ gốc trên báo cáo lưu chuyển tiền tệ đều bằng 0. Tiền ròng 585,1 tỷ (tiền mặt cộng tiền gửi ngắn hạn) là toàn bộ bức tranh đòn bẩy tài chính; không có khoản nợ nào để trừ đi. The product mix continued shifting toward trading rather than manufacturing: 1H revenue from merchandise goods (imported/distributed) grew 13.5% to ₫703.6bn, while revenue from finished goods DMC manufactures itself fell 6.8% to ₫335.2bn. Merchandise now makes up 68% of 1H revenue, up from 63% a year earlier. The cost lines show where the profit came from: merchandise cost of goods sold was ₫544.1bn against ₫539.5bn, so its gross profit rose to ₫159.4bn from ₫80.1bn, while finished goods cost rose to ₫286.8bn from ₫258.7bn and their gross profit fell to ₫48.4bn from ₫101.1bn (revenue less cost of goods sold, Notes 20 and 21).Cơ cấu sản phẩm tiếp tục dịch chuyển về phía thương mại thay vì sản xuất: doanh thu 6T từ hàng hóa (nhập khẩu/phân phối) tăng 13,5% lên 703,6 tỷ, trong khi doanh thu từ thành phẩm tự sản xuất giảm 6,8% xuống 335,2 tỷ.

Core manufacturing margin is expanding, but stays a small share of profit: gross margin rose to 15.8% in Q2/2026 from 13.1% in Q2/2025 (15.1% vs 13.9% for 1H). Still, JV/associates profit, mainly Honda Vietnam (30% owned) and Toyota Vietnam (20% owned), supplied 87.1% of Q2 pre-tax profit, down only slightly from 90.2% a year earlier; the core engine/machinery business remains a secondary profit driver.Biên lợi nhuận sản xuất cốt lõi cải thiện nhưng vẫn chiếm tỷ trọng nhỏ trong lợi nhuận: biên lợi nhuận gộp tăng lên 15,8% (Quý 2/2026) từ 13,1% (Quý 2/2025) (15,1% so với 13,9% cho 6 tháng). Tuy nhiên, lợi nhuận từ công ty liên doanh, liên kết, chủ yếu Honda Việt Nam (sở hữu 30%) và Toyota Việt Nam (sở hữu 20%), vẫn đóng góp 87,1% lợi nhuận trước thuế Quý 2, giảm nhẹ so với 90,2% cùng kỳ năm trước. JV/associates profit growth decelerated sharply between Q1 and Q2: +39.1% YoY in Q1/2026 but only +1.1% YoY in Q2/2026, the 1H figure of +14.7% blends a strong first quarter with a nearly flat second quarter. Not fully debt-free, but immaterially levered: VEA carries 114.1bn of short-term borrowings and finance-lease liabilities, small next to 17,921.0bn of cash and short-term deposits, for a net cash position of 17,807.0bn. Financial debt equals roughly 0.5% of owners' equity.

Notes RestatedTrình bày lạiQ2 2025 revenue is restated in this filing, and the cause is not disclosed: the Q2 2025 comparative shown here (₫1,313.8bn) differs from the ₫1,228.5bn TOS originally reported for the same quarter, a ₫85.3bn (6.9%) gap. The filing itself asserts current- and prior-year figures are comparable and includes no note explaining the difference. Two subsidiaries were newly consolidated in 1H26, Tan Cang - Gantry JSC and Ocean Engineering Construction JSC (both 0% owned at 1 Jan 2026), which could explain a retrospective restatement if applied here, but this is inference, not a filed fact. All comparatives on this page use the figures as presented in the Q2 2026 filing. Net debt rose 49.0% in the half, from ₫988.5bn to ₫1,473.0bn, as construction-in-progress jumped from ₫572.7bn to ₫734.1bn and long-term borrowings grew 34.9% to ₫1,931.8bn. Fixed-asset additions (transfers from construction-in-progress) totalled ₫407.3bn in the period.Nợ ròng tăng 49,0% trong nửa năm, từ 988,5 tỷ lên 1.473,0 tỷ, khi chi phí xây dựng cơ bản dở dang tăng từ 572,7 tỷ lên 734,1 tỷ và nợ vay dài hạn tăng 34,9% lên 1.931,8 tỷ. Tài sản cố định tăng thêm (chuyển từ XDCB dở dang) đạt tổng 407,3 tỷ trong kỳ. Revenue mix is shifting away from core offshore services: that line fell 9.5% YoY in 1H26, while construction contracts (+25.3%), infrastructure leasing (+157.4%) and other services (+804.5%, from a small base of ₫14.8bn) drove the 18.9% total revenue growth. Offshore services was still the largest line at ₫1,099.5bn, or 42.1% of 1H26 revenue, down from 55.3% a year earlier.Cơ cấu doanh thu đang dịch chuyển khỏi mảng dịch vụ ngoài khơi cốt lõi: mảng này giảm 9,5% so với cùng kỳ trong 6T26, trong khi hợp đồng xây dựng (+25,3%), cho thuê hạ tầng (+157,4%) và dịch vụ khác (+804,5%, từ nền thấp 14,8 tỷ) là động lực chính cho mức tăng trưởng doanh thu tổng 18,9%. Dịch vụ ngoài khơi vẫn là mảng lớn nhất với 1.099,5 tỷ, chiếm 42,1% doanh thu 6T26, giảm từ 55,3% một năm trước. Basic EPS fell despite higher profit, on a 45.2% share-count increase: EPS dropped to 4,081 VND in Q2 2026 from 5,552 VND in Q2 2025, and to 8,119 VND for 1H26 from 11,449 VND in 1H25. The cause is dilution: outstanding shares grew from 30,999,886 to 44,999,681 after a 2025 stock dividend capitalized ₫140.0bn from the investment & development fund, lifting charter capital from ₫310.0bn to ₫450.0bn.Lãi cơ bản trên cổ phiếu (EPS) giảm dù lợi nhuận tăng, do số cổ phiếu tăng 45,2%: EPS giảm còn 4.081 đồng ở Q2/2026 từ 5.552 đồng ở Q2/2025, và còn 8.119 đồng cho 6T26 từ 11.449 đồng ở 6T25. Nguyên nhân là pha loãng: số cổ phiếu lưu hành tăng từ 30.999.886 lên 44.999.681 sau đợt chia cổ phiếu thưởng năm 2025 với nguồn vốn hóa 140,0 tỷ từ quỹ đầu tư phát triển, nâng vốn điều lệ từ 310,0 tỷ lên 450,0 tỷ. Group consolidation expanded from 7 to 9 subsidiaries via two additions during 1H26: Tan Cang - Gantry JSC, previously a 45%-owned associate, became a 95%-owned subsidiary in April 2026 after the Group won an asset auction for the remaining stake held by Tan Cang Technical Services JSC; and Ocean Engineering Construction JSC (indirect, via Tan Cang Dredging and Salvage JSC) also became a new subsidiary this half, reaching 75% voting / 38.25% benefit rate from 0% at the start of the year, though the filing does not detail how that stake was acquired. Group headcount rose from 1,333 to 1,831 employees over the half, consistent with the wider consolidation scope. Operating cash flow swung positive: 1H26 operating cash flow was an inflow of ₫405.3bn, versus an outflow of ₫52.0bn in the 1H25 comparative shown in this filing, on a smaller working-capital drag relative to the jump in operating profit before working-capital changes (₫836.7bn, up from ₫597.1bn).Lưu chuyển tiền từ hoạt động kinh doanh đảo chiều dương: 6T26 ghi nhận dòng tiền vào 405,3 tỷ, so với dòng tiền ra 52,0 tỷ ở kỳ so sánh 6T25 trong báo cáo này, nhờ mức giảm vốn lưu động ít hơn so với mức tăng của lợi nhuận hoạt động trước thay đổi vốn lưu động (836,7 tỷ, tăng từ 597,1 tỷ).
